Transfer taxes on a commercial property sale
The tax due when the deed records ranges from 0.4% in most of New York State to nearly 6% of the price for a large sale in the City of Los Angeles. Here is what each jurisdiction charges and what it comes to at four prices.
| Where | $1,000,000 | $3,000,000 | $8,000,000 | $15,000,000 |
|---|---|---|---|---|
| New York City | $30,250 | $98,250 | $262,000 | $491,250 |
| New York State, outside NYC | $4,000 | $12,000 | $32,000 | $60,000 |
| Florida, outside Miami-Dade | $7,000 | $21,000 | $56,000 | $105,000 |
| Miami-Dade County | $10,500 | $31,500 | $84,000 | $157,500 |
| City of Los Angeles | $4,500 | $13,500 | $356,000 | $892,500 |
New York City
The city's Real Property Transfer Tax on non-residential transfers is 1.425% of the price at $500,000 or less and 2.625% above $500,000 (NYC Department of Finance). New York State adds its own tax on top (below), including the extra 0.25% for NYC non-residential sales of $2 million or more.
New York State
The state tax is $2 for each $500 of consideration, 0.4% (NYS Department of Taxation and Finance). In New York City, a conveyance of property other than residential property for $2 million or more also owes an additional base tax of $1.25 per $500.
Florida
Documentary stamp tax on deeds is 70 cents per $100 of consideration everywhere except Miami-Dade, which charges 60 cents per $100 plus a 45-cent surtax, for $1.05 per $100 on anything other than a single-family home (Florida Department of Revenue; sections 201.02 and 201.031, Florida Statutes).
City of Los Angeles
The base tax is $2.25 per $500. Measure ULA adds 4% of the full price on sales over $5.4 million and under $10.9 million, and 5.5% at $10.9 million or more, for sales closing after June 30, 2026; the thresholds are indexed each year (Los Angeles Office of Finance). Because the rate applies to the whole price, a sale just over a threshold can cost more after tax than one just under it. Los Angeles County also charges its own documentary transfer tax, which isn't included here.
Who pays
New York State says its base and additional base taxes are paid by the grantor (the seller) unless the contract between buyer and seller provides otherwise. For the other taxes here, check the contract and the local rules; New York City's Department of Finance says it may docket a judgment against both the grantor and the grantee for unpaid tax. The underwriting calculator estimates it for you and adds it to your cost only if you tick "I'm paying it".
